- Review and approve deliverables within the agreed timeframes
- Make payments according to the agreed schedule
4. Intellectual Property
Client Ownership: Upon full payment, you own 100% of the custom code, designs, and deliverables created specifically for your project. This includes source code, documentation, and deployment configurations.
Third-Party Libraries: Projects may use open-source libraries and frameworks (e.g., Next.js, React) which remain subject to their respective licenses. These licenses allow commercial use.
Portfolio Rights: We reserve the right to showcase completed projects in our portfolio and marketing materials, unless a non-disclosure agreement is in place.
5. Payment Terms
- A deposit of 30-50% is required before project work begins
- Remaining payments are due according to the project milestone schedule
- Invoices are payable within 14 days of issue unless otherwise agreed
- Late payments may result in project work being paused
- All prices are quoted in EUR unless otherwise specified
6. Project Timeline & Delivery
We provide estimated timelines based on project scope. While we strive to meet deadlines, delays may occur due to:
- Changes in project scope or requirements
- Delayed client feedback or content delivery
- Technical complexities discovered during development
- Third-party service outages or API changes
We will communicate any anticipated delays promptly and work with you to adjust timelines accordingly.
7. Revisions & Changes
Each project includes a reasonable number of revisions as defined in the project agreement. Additional revisions or scope changes beyond the original agreement may incur additional costs, which will be discussed and approved before work proceeds.
8. Warranties & Disclaimers
We warrant that our work will be performed in a professional and workmanlike manner. We provide a 30-day bug-fix warranty after project delivery for any defects in the deliverables.
Our website and its content are provided "as is" without warranties of any kind. We do not guarantee that the website will be uninterrupted, error-free, or free of viruses.
9. Limitation of Liability
To the maximum extent permitted by law, webdevlab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our website or services.
Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.
10. Termination
Either party may terminate a project agreement with 14 days written notice. In the event of termination:
- You will be invoiced for all work completed up to the termination date
- Upon payment, you will receive all completed deliverables and source code
- Deposits for unstarted work may be refunded at our discretion
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This includes business strategies, technical specifications, access credentials, and financial information. This obligation survives the termination of any agreement.
12. Website Use
When using our website, you agree not to:
- Use automated tools to scrape or crawl our content
- Attempt to gain unauthorized access to our systems
- Submit false or misleading information through our forms
- Use our website for any illegal or unauthorized purpose
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation before pursuing any legal action.
